Article I: Name, Emblem(s), and Slogan

  1. The name of the national organization governing the National Party, as well as any future local committees affiliated with, will be known as the American Capitalist Party National Organization, hereinafter referred to as the ACPNO, until such a time as the Federal Election Commission (FEC) requires the organization to register as a Committee, in accordance with Federal and State law.
  2. The emblem of the ACPNO will, primarily, be the depiction of the Liberty Torch with a red ribbon around the base of the torch, circled by stars. Alternatively, the Statue of Liberty, accompanied with the party name and slogan may also be used.
  3. The slogan of the ACPNO shall be “Liberty: Parent of Science and Industry”.
  4. No Persons, Groups, Organizations, Businesses, or Similar will be permitted to use the name “American Capitalist Party”, nor use the aforementioned emblems associated with the ACPNO, without the expressed, written permission of the ACPNO.

Article II: Objects and Purposes

  1. The object of the ACPNO is to build and promote the American Capitalist Party for the purposes of screening and selecting potential candidates to campaign for election at the Federal, State, and Local levels of government.
  2. The ACPNO shall perform the duties imposed by applicable law and shall exercise the rights granted by law to direct, manage, and supervise the affairs and business of the American Capitalist Party; determine party policies; issue calls and prescribe rules for conventions and primaries for the election of party officers and the nomination of candidates for public office; give direction and assistance to all future American Capitalist Party organizations at State and Local levels; further party goals and objectives as adopted, from time to time, by the party; and otherwise enjoy all privileges and perform all duties and responsibilities granted or imposed by applicable law or by the rules adopted by the American Capitalist Party.

Article III: Board of Directors and Officers

  1. The American Capitalist Party National Organization shall be composed of the following members, performing their respective duties:

Chairman

Serves as the Chief Executive Officer of the national party organization on the Board of Directors, and whose duties and responsibilities include, but are not limited to:

  • Oversight of party operations, with the assistance of other Party Officers
  • Oversee and ensure regulatory compliance in accordance with applicable law
  • Settlement of interparty disputes
  • Oversee national fundraising efforts
  • Screen and select nominees as candidates for public office
  • Call the National Organization to meeting, or delegate the task to other Officers
  • Facilitate consistent messaging throughout the party
  • Ensure party platform is adhered to at the National, State, and Local levels
  • Serves as an additional vote should ever there be a tie within the national organization
  • Attend ACPNO monthly meetings and national conventions
  • Direct oversight of events
  • Work in coordination with the ACPNO treasurer for the approval of expenditures
  • Give final approval of yearly proposed budgets
  • Work in coordination with other party officers to develop a legislative agenda

Vice Chairman

Serves as an Executive Officer of the National Party organization, directly below the Chairman on the Board of Directors, and whose duties and responsibilities include, but are not limited to:

  • Assisting the Chairman in his/her official capacity
  • Work directly in coordination with the national party Treasurer and Secretary
  • Maintain and ensure accurate documentation and maintenance of records
  • Investigate any discrepancies regarding party finances and/or records
  • Serves as Chairman in the event that the Chairman is unable to fulfill duties
  • Attend ACPNO monthly meetings and national conventions
  • Coordinate with the Chairman to ensure compliance with applicable laws
  • Other duties as assigned by the Chairman

Chief Policy Advisor

Serves as an Executive Officer of the National Party organization, directly below the Vice Chairman on the Board of Directors, and whose duties and responsibilities include, but are not limited to:

  • Assisting the Chairman and Vice Chairman in policy oversight
  • Ensuring organization policy adheres to the party platform and purposes
  • Coordinating with marketing and fundraising personnel
  • Ensure that any new proposed changes satisfy party goals and objectives
  • Assist and give direction to future State and Local affiliate organizations
  • Attend all ACPNO monthly meetings and national conventions
  • Assist in screening potential candidates for public office
  • Investigate potential conflicts of interest in financial contributions
  • Other duties as assigned by Chairman

Treasurer

Serves as an Officer of the National Party Organization, and whose duties and responsibilities include, but are not limited to:

  • Maintaining accurate accounting of all ACPNO financial records
  • Comply with all IRS and FEC periodic reporting requirements
  • Advise the Board of Directors of financial status
  • Work in cooperation with the Chairman for approved expenditures
  • Ensure proper organizational and tax filings
  • Attend all monthly ACPNO meetings and national conventions
  • Coordinate and guide future State and Local affiliate organizations
  • Other duties as assigned by the Chairman

Secretary

Serves as an Officer of the National Party Organization, and whose duties and responsibilities include, but are not limited to:

  • Act as custodian of records for the ACPNO
  • Coordinate monthly ACPNO meetings and national conventions
  • Coordinate with fundraising events
  • Facilitate organization deadlines
  • Coordinate with content creators and journalists
  • Make approved changes to party bylaws and policies
  • Maintain all IRS documentation
  • Other duties as assigned by the Chairman

Marketing and Fundraising Coordinator

Serves as an Officer of the National Party Organization, and whose duties and responsibilities include, but are not limited to:

  • Tracking and proposing state by state events
  • Working with State ACPNO members and volunteers
  • Organizing fundraising events
  • Coordinating with the Secretary to promote ACPNO goals
  • Assisting the Treasurer to meet fundraising goals
  • Working with social media content creators
  • Other duties as assigned by the Chairman

Article IV: Fiscal Year Commencement and Budget Approvals

  1. The fiscal year shall commence on January 1st of each year.
  2. Yearly budget proposals must be submitted to the Board no later than February 15th of each year and must be in accordance with the budget plan approved at the national convention.
  3. The ACPNO will approve all yearly budgets no later than April 1st of each year.
  4. Any discrepancies in yearly fiscal reports that are not resolved by December 30th of each year will be automatically subject to outside, third party audit by a certified accountant.

Article V: National Organization Delegates

  1. The ACPNO shall nominate and designate, at the first ACPNO National Convention, the first State Delegates to represent their respective States.
  2. Assigned Delegates shall enjoy their position until the next primary election or caucus of their state.
  3. To be considered for a State Delegate position, hopeful members must:
    • Reside in the state they will represent
    • Be eligible to vote in State and Federal elections
    • Maintain good standing with the ACPNO
    • Have demonstrated commitment through volunteer work
    • Have attended at least 8 out of 12 previous consecutive monthly meetings
  4. The ACPNO reserves the right to assign or expand Delegate positions as needed.
  5. In case of delegate inability to serve, the ACPNO shall hold a special meeting to assign a temporary replacement.

Article VI: Membership and Fees

  1. New members must contact the ACPNO and part ways from other political parties within six months.
  2. When no ACP candidate appears on a ballot, members are encouraged to write in “None Of The Above”.
  3. A membership fee of $35.00 is due upon approval, with 14 business days to pay after approval notification.
  4. Annual fee of $35.00 is due January 15th each year, with a 30-day grace period.
  5. Members in “good standing” receive:
    • 20% discount on party merchandise
    • Discounted tickets to fundraising events
    • First opportunity for exclusive event tickets
    • Eligibility for party positions
  6. No discrimination based on race, sexual orientation, disability, or gender. Must be eligible to vote and be a legal US citizen.

Article VII: National Organization Conventions and Rules

  1. The ACPNO shall hold a National Convention every two years.
  2. Conventions will be held in spring at a location determined by the Board.

Rule #1: Order Of Business

Rule #2: Voting Procedure and Motions

  1. Each Board Member, Officer, and Delegate gets one vote per motion.
  2. Chairman casts extra vote in case of ties.
  3. Vote discrepancies result in hand recount.
  4. Vocal poll voting for motions and amendments.
  5. Anonymous private voting for nominations and elections.
  6. No coercion or vote trading allowed.
  7. Written motions may be required by Chairman.
  8. Secretary collects and reads private ballots.

Rule #3: Bringing Motions to the Floor and Debating

  1. Five minutes allowed for proposing motions.
  2. Opponents get five minutes for counter-arguments.
  3. Motions must reach 2/3rds favorable vote to pass.
  4. Secretary records all motions and outcomes.

Rule #4: Sour Lemon Policy

  1. Those who lose elections must concede respectfully and support successful candidates.
  2. Harassment or slander of successful opponents may result in disciplinary action.

Rule #5: Nomination of Candidates for Public Office

  1. Candidates must declare intentions four years prior to election cycle.
  2. Chairman must give consent after screening process.
  3. 2/3rds vote required for nominee status.
  4. Top two candidates proceed to debate process.
  5. Candidates get five minutes for opening statements, four minutes for questions, two minutes for rebuttals.

Rule #6: Resolutions

  1. Resolutions require 2/3rds majority to pass.
  2. Secretary records all resolutions and outcomes.

Article VIII: National Organization Meetings

  1. The ACPNO shall hold monthly meetings on public social media platforms.
  2. The ACPNO will attempt to answer reasonable questions from members and the public.
  3. The ACPNO reserves the right to change meeting format if needed.

Article IX: Committees and Subcommittees

  1. The ACPNO reserves the right to form committees and subcommittees as needed for party management.
  2. Initial committee appointments will be determined by party founders and require re-election after four years.

Article X: Bylaw Addendums

  1. The ACPNO reserves the right to amend bylaws for legal compliance via special meeting.
  2. The ACPNO shall not accept or solicit donations from foreign persons or corporations.
  3. The ACPNO will not accept non-US citizens as members.
  4. The ACPNO reserves the right to reject or terminate memberships.
  5. Members are prohibited from accepting foreign payments related to party policy.
  6. Personal business with foreign entities must be separate from party affairs.
  7. The ACPNO reserves the right to investigate and determine disciplinary action for rule violations.
